Path Healthcare Systems Corp. (“General Medicine,” “General,” “we,” “us,” “our”) and its affiliated medical service providers, Emerald Medical Practice, P.C. (AZ), Emerald Medical Practice, P.A. (KS), Emerald Medical Practice, P.C. (CA), Ruby Medical Practice, P.C. (NJ), Centennial Medical Practice, P.C. (ID) (medical service providers, collectively, “Emerald Providers”) provide certain services (described below) to you through our website located at https://generalmedicine.co (the “Site”) or other websites maintained by us, and through our messaging services and related technologies, including any updated or new features, functionality and technology (collectively, the “Service”), subject to the following terms of service (as amended from time to time, these “Terms of Service”).
By accessing, browsing, or otherwise using the Site or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.If you do not accept the terms and conditions of these Terms of Service, you must not access, browse, or otherwise use the Service.
We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time.If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised.Any such changes will become effective immediately.You should periodically visit this page to review the current Terms of Service so you are aware of any revisions.If you do not agree to abide by these or any future Terms of Service, you will not access, browse, or use (or continue to access, browse, or use) the Service.Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
Binding Arbitration. These Terms of Service provide that all disputes between you and General that in any way relate to these Terms of Service or the Service will be resolved by BINDING ARBITRATION. ACCORDINGLY, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) to assert or defend your rights under these Terms of Service. Your rights will be determined by a NEUTRAL ARBITRATOR and NOT a judge or jury and your claims cannot be brought as a class action. Please review Dispute Resolution; Arbitration Agreement for the details regarding your agreement to arbitrate any disputes with General.
Services Provided – No Medical Care or Advice
General is not a medical group and does not provide medical advice, care, and/or treatment. General provides administrative and management services to independent, physician-owned and operated, medical practices. Telemedicine consults or other health care services obtained through our Service are provided by Emerald Providers or other third-party health care providers. Emerald Providers are owned and operated by a licensed physician. There is no single provider of medical care called “General.”Emerald Providers engage a network of United States based clinicians who provide clinical telehealth services. The Emerald Providers deliver clinical services via the Services to their patients. General does not provide medical advice or care, own or operate medical practices, employ or in any way supervise clinicians providing medical care, or have control over the care provided, which is the sole responsibility of the Emerald Providers. Services and practices may vary across Emerald Providers, and patients should contact the Emerald Providers directly for all questions concerning their medical care.
The Service and medical care provided by Emerald Providers are not intended to be a substitute for care and treatment provided by your local primary care provider. We strongly recommend all patients maintain a relationship with a local primary care provider for their ongoing medical care and treatment.
Not for Emergencies
Our Service is not for medical emergencies or urgent situations. You should not disregard or delay seeking medical advice based on anything that appears or does not appear on our Service. If you believe you are experiencing an emergency, call 9-1-1 immediately.
You should seek emergency help or follow up care when recommended by a Emerald Provider or when otherwise needed. You should continue to consult with your primary provider and other healthcare professionals as recommended. Always seek the advice of a physician or other qualified healthcare provider concerning questions you have regarding a medical condition and before stopping, starting, or modifying any treatment.
Your Privacy
At General, we respect the privacy of our users.For details, please see our Privacy Notice. By using the Service, you consent to our collection, use, and disclosure of personal information as outlined therein.You also agree that information provided by you in connection with the Service shall also be governed by the applicable Emerald Providers’ Notice of Privacy Practices, as further discussed below, and is hereby incorporated and made part of these Terms of Service. All such terms are hereby incorporated by reference into these Terms of Service.
Privacy of Your Health Information
Protected Health Information (“PHI”) is defined in the Health Insurance Portability and Accountability Act of 1996 (commonly referred to as “HIPAA”), and includes individually identifiable information such as a person’s medical history, diagnoses, treatments, current medical condition, and use of prescription medications. When PHI is collected or used by Emerald Providers (or is collected or received by General as a service provider to the Emerald Providers), it is governed by the Emerald Provider’s HIPAA Notice of Privacy Practices, which is hereby incorporated into and made part of these Terms of Service. Please see the Emerald Provider’s HIPAA Notice of Privacy Practices for more information on HIPAA, PHI, and your rights with respect to your PHI.
Not an Insurance Product
We are not an insurer, nor do we offer an insurance plan or product. The amounts you pay to us for any services or care obtained through the Service are not insurance premiums. If you desire any type of health or other insurance, you will need to purchase such insurance separately.
Additional Terms
In addition, when using or receiving the Service, you will be subject to any additional terms applicable to such services that may be posted on the Service from time to time.All such terms are hereby incorporated by reference into these Terms of Service.
Ownership of the Services
The Service contains confidential and proprietary information, materials, data, databases, contents, processes, methodologies, know-how, software, text, displays, images, video, audio, trademarks, logos, service marks, features and functionality, and the design, selection and arrangement thereof, are owned by General, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade dress, trade secret and other intellectual property or proprietary rights laws (collectively, the “Content”).
These Terms of Service permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Services, including but not limited to Content, except: (a) your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; (b) you may store files that are automatically cached by your Web browser for display enhancement purposes; and (c) you may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication or distribution.
You must not: (a) modify copies of any materials from the Service or received through the Service; (b) use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text; or (b) delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the Service.
You may not frame or utilize framing techniques to enclose, or deep linking to, any name, trademarks, service marks, logo, content, or other proprietary information (including, without limitation, images, text, page layout, or form) of General without our express written consent.
You must not access or use any part of the Service or any services or materials available through the Service for outsourcing for others or as part of a service bureau business so otherwise for the benefit of unaffiliated third parties who pay directly for its benefit or for other similar commercial purposes, or otherwise exploited for any commercial purpose without express written consent of General.
If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Service, your right to use the Service will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Service or any content on the Service is transferred to you, and all rights not expressly granted are reserved by General. Any use of the Service not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark and other laws.
Access and Use of the Service
Services Description:The Service provides a web and mobile-based service through which users can receive telehealth and other health, research or medical related products or services.
Availability of Services:General operates subject to state and federal regulations, and the Service may not be available in your state. You represent that you are not a person barred from enrolling for or receiving the Service under the laws of the United States or other applicable jurisdictions in which you may be located. Access to and use of the Service is limited exclusively to users located in states within the United States where the Service is available. The Service is not available to users located outside the United States. Accessing the Service from jurisdictions where content is illegal, or where we do not offer the Services, is prohibited.
Telehealth Services:Telehealth involves the delivery of healthcare services using electronic communications, information technology or other means between a healthcare provider and a patient who are not in the same physical location.Through the Service, you may be connected with physicians and healthcare providers affiliated with Emerald Providers for consultation.In some cases, the Service may not be the most appropriate way for you to provide information to communicate with or seek medical care and treatment from a healthcare provider.For example, certain medical conditions may require an in-person procedure or a healthcare provider other than an Emerald Provider, or your Emerald Provider may determine that your evaluation or treatment requires an in-person office visit or is otherwise not appropriately addressed through use of the Service.In such a case, you may receive notification stating that you will be unable to use the Service for the particular issue you submitted and providing additional information regarding next steps, which may include one or more referrals to healthcare providers not affiliated with an Emerald Provider (“External Medical Providers”).
While the provision of health care services using telehealth may offer certain potential benefits, there are also potential risks associated with the use of telehealth.The telehealth services are not a substitute for in-person health care in all cases.In order to use the Service, you will be required to review and agree to a Telehealth Informed Consent regarding the use of telehealth services.By using the Service, you acknowledge the potential risks associated with telehealth services. These include but are not limited to the following: information transmitted may not be sufficient (e.g., poor resolution of images) to allow for appropriate medical or health care decision-making by Emerald Providers; delays in evaluation or treatment could occur due to failures of electronic equipment; a lack of access to your medical records may result in adverse drug interactions or allergic reactions or other judgment errors; and, although the electronic systems used by General incorporate network and software security protocols to protect the privacy and security of health information, those protocols could fail causing a breach of privacy of your health information.
Prescription Practices: Certain products available through the Service require a valid prescription by a licensed healthcare provider. You will not be able to obtain a prescription product unless you have completed a consultation with one of the Emerald Providers through the Services, the Emerald Provider has determined the prescription product is appropriate for you, and the Emerald Provider has written a prescription. If an Emerald Provider determines a prescription product is appropriate for you and writes a prescription, you may fill the prescription at any pharmacy of your choice as prompted during your use of the Services. You agree that any prescriptions that you acquire from an Emerald Provider will be solely for your personal use. You agree to read fully and carefully all provided product information and labels and to contact a physician or pharmacist if you have any questions regarding the prescription. We fully honor patient freedom of choice and, if you receive a prescription for a medication, you always have the option to instruct your Emerald Provider to transmit that prescription to the pharmacy of your choice.
Laboratory Services:General does not own or operate a laboratory, however, General may facilitate appointments for lab services at appropriately licensed and certified independent third-party laboratory testing facilities.You understand that General does not have control over the operations of third-party laboratory testing facilities and by using our Service, you understand and agree that we will not be responsible or liable for any of the services provided by third-party laboratories.
External Medical Providers and Third-Party Services:By using the Service, you may be provided with referrals to External Medical Providers, or we may assist in scheduling appointments for you with External Medical Providers.We do not control or influence the practice of medicine by any External Medical Providers, each of whom is solely responsible for the medical care and treatment they provide to you and any decisions they make regarding your qualification for any treatment.General makes no representations or warranties about the suitability, reliability, timeliness, or accuracy of the medical care, decisions and treatment made or provided by any External Medical Providers.
Accuracy and Integrity of Information: Although we attempt to ensure the integrity and accuracy of the Service, we make no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Service and Service Content. It is possible that the Service could include typographical errors, inaccuracies, or other errors, and that unauthorized additions, deletions, and alterations could be made to the Service by third parties. In the event that an inaccuracy arises, please inform us so that it can be corrected. We reserve the right to unilaterally correct any inaccuracies on the Service without notice. Information contained on the Service may be changed or updated without notice. Additionally, General shall have no responsibility or liability for information or content posted to the Service from any unaffiliated third party.
Typographical Errors and Incorrect Pricing: In the event a service is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers or business partners, we shall have the right to refuse or cancel any purchase of a service listed at the incorrect price. We shall have the right to refuse or cancel any such purchase whether or not the purchase has been confirmed and your payment card charged. If your payment card has already been charged for the purchase and your purchase is canceled, we shall promptly issue a credit to your payment card account in the amount of the incorrect price
Health Related Content:While General provides certain health care services, some health-related information, data, software, photographs, graphics, videos, text, images, typefaces, sounds and other material included in the Service Content (as defined below) or otherwise available on or via the Services describes general principles of health care that should not be construed as specific instructions for individual patients.It is for reference only and should not be used to determine treatment for specific medical conditions—only a health care provider can do that.You understand and agree that in no event will General be liable for any decision made or action taken in reliance on such general information and materials, and reliance thereon is solely at your own risk.
Your Registration Obligations: You may be required to register with General on the Site in order to access and use certain features of the Service.If you choose to register for the Service, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Service’s registration form.Such registration data and certain other information about you are governed by our Privacy Notice. General is not liable for any loss or damage arising from your failure to comply with these obligations.
User Account, Password and Security:When creating your account, you represent and warrant that (1) you will provide truthful, accurate and complete information; (2) the information you provide is current at all times and you will update it as necessary; and (3) your use of the Service does not violate any applicable law, rule, regulation, or these Terms.You are expected to use “strong” passwords (passwords that use a combination of upper and lowercase letters, numbers and symbols) with your account.You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities that occur under your password or account, even if due to misuse or any unauthorized access.You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.You understand and agree that your account is personal to you and you agree not to provide any other person with access to the Services using your username, password, or other security information.You also agree to ensure that you logout from your account at the end of each session.You agree to immediately notify General of any unauthorized use of your password or account or any other breach of security.General will not be liable for any loss or damage arising from your failure to comply with this Section.
Deleting Your Account: You may delete your account at any time by sending an email with the request in the subject line to help@generalmedicine.co.Note that doing so will delete all your data and information stored on the Service or shared via the Service, and we will bear no responsibility for such loss of data or information; provided that we may retain any information or data as permitted under these Terms of Service and subject to our rights under the Privacy Notice, Notice of Privacy Practices, or as may be necessary or advisable in order to comply with any applicable law, rule, statue, order or regulation (collectively, “Law”).All fees that may have been incurred prior to de-registration will be due and owing, until paid in full, such account deletion notwithstanding.
Modifications to Services: General reserves the right to suspend, limit, condition modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.You agree that General will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
General Practices Regarding Use and Storage:You acknowledge that General may establish general practices and limits concerning use of the Service, including without limitation the maximum period of time that data or other content will be retained by the Service and the maximum storage space that will be allotted on General’s servers on your behalf.To the extent General is storing or processing PHI under HIPAA, General will comply with the applicable privacy and security requirements set forth under HIPAA, and as further discussed in the Emerald Provider’s Notice of Privacy Practices.You acknowledge that General reserves the right to terminate accounts that are inactive for an extended period of time.You further acknowledge that General reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.You further acknowledge that in the event General terminates an inactive account, General may delete any data, and we will bear no responsibility for such loss of data or information; provided that we may retain any information or data as permitted under these Terms of Service and subject to our rights under the Privacy Notice, or as may be necessary or advisable in order to comply with any Law.
Payment
Payment Methods:In order to register for an account, you may be required to submit insurance, credit card or other payment information at the time of registration.You also may be required to authorize General to seek payment from your insurance provider(s).You represent and warrant to General that such submitted information is true and that you are authorized to use such insurance or payment instrument.You agree to pay General any amounts due and owing in accordance with these Terms of Service, including any amounts remaining after processing of a claim for provision of the Service by your insurance provider.You will promptly update your account information with General or the Payment Processor (as defined below), as applicable, of any changes (for example, a change in your health insurance, billing address or credit card expiration date) that may occur.You shall be responsible for all taxes associated with the Services other than U.S. taxes based on General’s net income.If your payment fails, we may immediately cancel or revoke your access to the Service and/or terminate your account.If you contact your bank or credit card company to decline or reverse the charge of fees, we may revoke your access to our Service and/or terminate your account.If you dispute any charges you must let General know within sixty (60) days after the date that General charges you.General may accept insurance for certain services or other purchases through the Site or Service; however, General reserves the right to decline to accept insurance in its sole and absolute discretion where permitted by law.General need only look to you for payment for such services and other purchases, even if you have health insurance.
Purchase Acceptance: We reserve the right, at our sole discretion, to refuse or cancel any purchase for any reason. Your account may also be restricted or terminated for any reason, at our sole discretion. For your convenience, you will not be charged until your payment method is authorized, and the purchase information is verified for accuracy.
Some situations that may result in your purchase being canceled include inaccuracies or errors in pricing information, or problems identified by our credit and fraud avoidance department. We may also require additional verifications or information before accepting any payment. We will contact you if your purchase is canceled or if additional information is required to accept your payment. If your purchase is canceled after your payment card (or other payment account) has been charged, we will issue a credit to your payment card (or other applicable payment account) in the amount of the charge.
Payment Method:Collection of your credit card or other payment information and the processing of payment of fees will be performed by third party payment processers (the “Payment Processors”).General currently uses Stripe (https://stripe.com/) as its Payment Processor, but reserves the right to change Payment Processors.You will tender payment to the applicable Payment Processor, and fees will be processed by the applicable Payment Processor.You are bound by the applicable Payment Processor’s terms and conditions for the processing of payments, as the same may be modified by such Payment Processor from time to time (collectively, the “Payment Processor Terms”).Information provided to any Payment Processor is governed by the applicable Payment Processor Terms.Stripe’s Payment Processor Terms are comprised of Stripe’s Connected Account Agreement, located at https://stripe.com/connect-account/legal, which includes the Stripe Services Agreement located at https://stripe.com/legal and Stripe’s Global Privacy Policy located at https://stripe.com/privacy.We are not responsible for the performance of any Payment Processor, including Stripe.
Conditions of Access and Use
User Information:If you submit, upload, post, or transmit any health information, medical history, conditions, problems, symptoms, personal information, consent forms, agreements, requests, comments, ideas, suggestions, information, files, videos, images, or other materials to us or our Service (“User Information”), you agree not to provide any User Information that (a) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (b) violates or infringes the privacy, copyright, trademark, trade dress, trade secrets, or intellectual property rights of any person or entity, or (c) contains or transmits a virus or any other harmful component. You agree not to contact other Service users through unsolicited e-mail, telephone calls, mailings, or any other method of communication. You represent and warrant to General and Emerald Providers that you have the legal right and authorization to provide all User Information to General and Emerald Providers for use as set forth herein and required by General and the Emerald Providers.
General or Emerald Providers may de-identify your information such that it is no longer considered Protected Health Information or personally identifiable information. General or Emerald Providers may use, aggregate, sell, or otherwise disclose such de-identified information to third parties for analytics, research, or any other purpose permitted by applicable law.
General reserves the right to investigate and take appropriate legal action against anyone who, in General’s sole discretion, violates this provision, including without limitation, removing the offending content from the Services, suspending or terminating the account of such violators and reporting you to the law enforcement authorities.You agree to not use the Service to:
a) share any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any Law or under contractual or fiduciary relationships; (iii) contains software viruses or any other code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) is illegal, offensive, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable; (vi) is false, misleading, or otherwise deceptive; or (vii) in the sole judgment of General, may expose General or its users to any harm or liability of any type;
b) interfere with or disrupt the Service or servers or networks connected to the Service or disobey or violate any requirements, procedures, policies or regulations of networks connected to the Services;
c) violate any applicable Law;
d) impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
e) harvest or collect email addresses or other contact information or personally identifiable information of other users of the Service;
f) take any action that imposes, or may impose, as determined in our sole discretion, an unreasonable or disproportionately large load on our infrastructure;
g) copy or store any significant portion of the Service Content;
h) monetize the Service Content through advertising, subscriptions or other means;
i) further or promote any criminal activity or enterprise;
j) circumvent, remove, alter, deactivate, degrade, or thwart any of the content protections in or geographic restrictions on any content (including Service Content) available on or through the Services, including through the use of virtual private networks, or by bypassing measures preventing or restricting access to the Service or Service Content; or
k) engage in or use any data mining, robots, scraping, or similar data gathering or extraction methods.If you are blocked by General from accessing the Services (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address or virtual private network).
Special Notice for International Use; Export Controls:Software (defined below) which may be available in connection with the Services and the transmission of applicable data, if any, is subject to United States export controls.No Software may be downloaded from the Services or otherwise exported or re-exported in violation of U.S. export Laws.Downloading or using the Software is at your sole risk.Recognizing the global nature of the Internet, you agree to comply with all local Laws regarding your use of the Services, including as it concerns online conduct and acceptable content.The Service may not be used or otherwise provided or made available, either directly or indirectly, (a) in Cuba, Iran, North Korea, Syria, Crimea region of Ukraine, or any other country subject to U.S. trade sanctions, to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions; or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department’s Table of Denial Orders.You agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list and that you will not share the Service with anyone whose status is described in items (a) or (b) above.
Children and Parental Consent: In order to access the Service, you represent and warrant that you are at least 18 years old or older. If you are under 18 years of age, you must get permission from your parents or legal guardian before using our Service. If you are under the age of 18, do not use or provide any information on or to the Service or through any of its features without the consent of your parent or legal guardian.
If we learn we have collected or received Personal Information from a child under the age of 18 without verification of parental consent, we will delete it If you believe we have collected personal information from someone under the age of 18, please Contact Us.
Electronic Communications
Consent to Electronic Communications: When you use the Service, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be signed electronically and (b) all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such notices and other communications be in writing. General and Emerald Providers may contact you by telephone, mail, text (SMS), MMS, or e-mail to verify your information. General and Emerald Providers may request further information from you, and you agree to provide such further information to ensure that you have not fraudulently used the Services. If you do not provide this information in the manner requested within fourteen (14) days of the request, we reserve the right to suspend, discontinue, or deny your access to and use of our Services until you provide the information to us as requested.
CAN-SPAM Act and Telephone Consumer Protection Act Compliance: General and the Emerald Providers are committed to being compliant with the Controlling the Assault of Non-Solicited Pornography and Marketing Act (“CAN-SPAM Act”) and the Telephone Consumer Protection Act (“TCPA”). You consent to receive text messages from General and the Emerald Providers as set forth in the below section, Consent to Receive Calls and Text Messages. E-mails, newsletters, and text messages received from us are intended to fully comply with the CAN-SPAM Act and the TCPA. In the event you receive an e-mail or text message from us which you do not believe is fully compliant with the CAN-SPAM Act or the TCPA, please Contact Us.
Mobile Services: The Service includes certain services that are available via a mobile device, including (a) the ability to share content to the Service via a mobile device; and (b) the ability to browse the Service and the Site from a mobile device (collectively, the “Mobile Services”).To the extent you access the Service through a mobile device, your wireless service carrier’s standard charges, data rates, and other fees may apply.In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices.
Consent to Receive Calls and Text Messages: By providing your mobile number, you consent to be contacted by or on behalf of General or the Emerald Providers at the mobile number you have provided, by telephone, automated system calling, artificial voice or pre-recorded calling, text message, SMS and/or MMS message, or other telephonic or electronic means, to receive informational, Service-related and care-related messages and communicationseven if you have opted in to the National Do Not Call List, a state Do Not Call List, or the internal Do Not Call List of any company.Message and data rates may apply. You may be required to respond to an initial message as instructed to complete your registration and confirm enrollment in our text messages. You acknowledge that text messages, phone calls and emails may be unencrypted and carry some risk that the information in the messages, including information about your health, could be read by an unauthorized person. You further acknowledge and agree that General and the Emerald Providers cannot guarantee the security and confidentiality of the unencrypted communications that we send to you and are not responsible for any unauthorized access that occurs during or after the transmission of the communications to you.
To stop receiving text messages, text a reply to us with the word STOP. We may confirm your opt-out by text message. If you subscribe to multiple types of text messages from us, we may unsubscribe you from the service that most recently sent you a message or respond to your STOP message by texting you a request to identify services you wish to stop. Please note, that by withdrawing your consent, some of the functions provided by the Service may no longer be available to you. Keep in mind that if you stop receiving text messages from us you may not receive important and helpful information and reminders about your services. You can also text HELP for customer support information. In the event you change or deactivate your mobile telephone number, you agree to promptly update your General account information to ensure that your messages are not sent to the person that acquires your old number.
If you would like to opt out of all communications from us, including information, communications, updates and reminders about your account and the products you purchase please contact our customer support team at help@generalmedicine.co, however, you acknowledge that this may affect your ability to effectively use the Service.
Recordings: General or Emerald Providers may record all or part of your interaction with us or them (“Recordings”). Such Recordings are used for quality assurance and training purposes, to better deliver to you the services, and to help us improve the Service. By accessing and using our Service, you agree and consent to such Recordings for the purposes and uses set forth in these Terms of Service and as otherwise set forth in the Privacy Notice.
Software: The technology and software underlying the Service, including any proprietary technology or algorithms embodied in General’s software or distributed in connection therewith (the “Software”) are the property of General and our partners.You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software.Any rights not expressly granted herein are reserved by General.

IN NO EVENT WILL THE GENERAL PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID GENERAL IN THE LAST SIX (6) MONTHS (IF AT ALL), OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OR EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU OR BE ENFORCEABLE WITH RESPECT TO YOU.

No Third-Party Rights
Unless expressly stated in these Terms of Service, nothing herein is intended to confer any rights, obligations, duties, or remedies, on any person other than you, General, Emerald Providers, and their affiliates. Nothing in the Terms of Service is intended to relieve or discharge the obligation or liability of any third persons to you, General, Emerald Providers, and their affiliates, nor shall any provision give any third parties any right of subrogation or action over against you, General, Emerald Providers, and their affiliates.
Dispute Resolution; Arbitration Agreement.
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
We will try to work in good faith to resolve any issue you have with the Service, including purchases made through the Service, if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer's satisfaction.
You and General agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms of Service or your use of the Service, including services purchased through the Service, shall be determined by binding arbitration instead of in courts of general jurisdiction. Arbitration is more informal than bringing a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury and is subject to very limited review by courts. Arbitration allows for more limited discovery than in court, however, we agree to cooperate with each other to agree to reasonable discovery in light of the issues involved and amount of the claim. Arbitrators can award the same damages and relief that a court can award, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court, including without limitation, the law on punitive damages as applied by the United States Supreme Court. You agree that, by agreeing to these Terms of Service, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and General are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms of Service and any other contractual relationship between you and General.
If you desire to assert a claim against General, and you therefore elect to seek arbitration, you must first send to General, by certified mail, a written notice of your claim ("Notice"). The Notice to General should be addressed to: Path Healthcare Systems Corp., 50 W. Broadway, Suite 333 PMB 518579, Salt Lake City, UT 84101-2027 ("Notice Address"). If General desires to assert a claim against you and therefore elects to seek arbitration, it will send, by certified mail, a written Notice to the most recent address we have on file or otherwise in our records for you. A Notice, whether sent by you or by General, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand").If General and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or General may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by General or you shall not be disclosed to the arbitrator. You may download or copy a form Notice and a form to initiate arbitration from the American Arbitration Association at www.adr.org.
If you are required to pay a filing fee, after General receives notice at the Notice Address that you have commenced arbitration, it will promptly reimburse you for your payment of the filing fee, unless your claim is for more than US $10,000. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms of Service, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by requesting them from us by writing to us at the Notice Address.
The arbitrator is bound by the terms of these Terms of Service. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of these Terms of Service, including this arbitration agreement. Unless General and you agree otherwise, any arbitration hearings will take place in the county (or parish) of your billing address. (If you reside outside of the United States, any arbitration hearings will take place in your country of residence at a location reasonably convenient to you but will remain subject to the AAA Rules including the AAA rules regarding the selection of an arbitrator).
If your claim is for US $10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based.
If the arbitrator issues you an award that is greater than the value of General’s last written settlement offer made before an arbitrator was selected (or if General did not make a settlement offer before an arbitrator was selected), then General will pay you the amount of the award or US $1,000, whichever is greater.
Except as expressly set forth herein, the payment of all filing, administration and arbitrator fees will be governed by the AAA Rules. Each party shall pay for its own costs and attorneys' fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a written agreement providing for payment or recovery attorneys’ fees, the arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law.
YOU AND GENERAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and General agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
If this Agreement to Arbitrate provision is found to be unenforceable, then (a) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms of Service shall remain in full force and effect; and (b) exclusive jurisdiction and venue for any claims will be in state or federal courts located in and for Utah. Both General and you agree to waive any and all rights to a jury trial in the event this agreement to arbitrate is found to be unenforceable.
Termination
You agree that General, in its sole discretion, may suspend, limit, condition or terminate your account, use of the Service or any feature or function thereof and remove and discard any content within the Service, for any reason, including, without limitation, for lack of use or if General believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service.Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of your use of Service may be referred to appropriate law enforcement authorities.General may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice.You agree that, except as may be explicitly set forth herein, any termination of your access to the Service under any provision of these Terms of Service may be effected without prior notice, and acknowledge and agree that General may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service.Further, you agree that General will not be liable to you or any third party for any termination of your access to the Service (except as may be explicitly set forth herein).
Force Majeure
We will not be deemed to be in breach of these terms or liable or deemed to have defaulted for any breach of these Terms of Service or our Privacy Notice for any failure or delay in fulfilling or performing any term of these Terms of Service, when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including, without limitation, thefollowing force majeure events (“Force Majeure Event(s)”): (a) acts of God; (b) flood, fire, earthquake, explosion, pandemic, or epidemic; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or actions; (e) embargoes or blockades in effect on or after the date of this Agreement; (f) national or regional emergency; and (g) other events beyond the reasonable control of General. We will do our best to communicate with you and to provide notice within thirty (30) days of the Force Majeure Event, stating the period of time the occurrence is expected to continue. We shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized. General shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause.
Entire Agreement
These Terms of Service constitute the entire agreement between you and General and govern your use of the Service, superseding any prior agreements between you and General with respect to the Service.You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software.
Governing Law
These Terms of Service will be governed by the laws of the State of Utah without regard to its conflict of law provisions.With respect to any disputes or claims not subject to arbitration, as set forth above, you and General agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Salt Lake City, Utah.
No Waiver
The failure of General to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision.
Severability
If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect.
Dispute Timing
You agree that regardless of any Law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.A printed version of these Terms of Service and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this Terms of Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
No Agency Relationship
Neither these Terms of Service, nor any content, materials, or features of the Service create any partnership, joint venture, employment, or other agency relationship between us and you.You may not enter into a contract on our behalf or bind us in any way.
Assignment
You may not assign these Terms of Service without the prior written consent of General, but General may assign or transfer these Terms of Service, in whole or in part, without restriction.
Notice
Notices to you may be made via either email or regular mail.The Service may also provide notices to you of changes to these Terms of Service or other matters by displaying notices or links to notices generally on the Service.
